BOARD OF DIRECTORS MEETING 

MINUTES -

November 17, 2021


 

A. Organizational Matters


 

I.               Call meeting to order – Meeting called to order at 11:30 a.m. by L. Daily

II.              Attendance – Members via Zoom:  A. Church, L. Daily, R. Monteverde, J. Surace, A. Niles. Absent: D. Potack. Quorum was established. Others: D. Chafiyadeh, A. Filosa, D. Mangaser, E. Talbott, J. Welles. 

III.        Review & Approval of October 2021 Minutes – J. Surace made a motion to accept with two corrections. A. Niles J. seconded the motion. All approved, none opposed. 

III.            Review & Approval of Financial Reports: Oct. 2021- A. Church made a motion to approve October Report, J. Surace seconded it. All approved, none opposed. 

IV.            Nomination of Argelia Morales to the Board, R. Monteverde made a motion to nominate Argelia Morales to the Board, A. Church seconds the motion.  A. Church makes a motion to accept the nomination of Ivor Anthony Hall to the Board, A. Niles seconds the motion. All approved, none opposed. 

V.             Strategic Planning Process with NYCON Consultant – Susan Weinrich –update: Board members will meet at E. Learning Center at the Newburgh Library on Friday, November 19, at 9 a.m.    

 

 

B. Property Related Matters

 

I.    New development/2 Family renovations: 

1.     House to Home update:  

i.  27 and 43 Johnston: J. Welles reported that completion of the renovations is anticipated in December 2021. Staff began marketing the properties and held three open houses with good turn-out.  Deadline for application is January 15, 2022. NCLB received a couple of applications for each property.

ii.  115 and 150 Lander: Slated to complete in early Spring. Moving along at 40 -50% complete range. The only inspection left is the final inspection. 

II.             Church of Holy Deliverance: 37 Chambers/Lander St lots update: J. Welles reports the plat was completed and submitted.

Sales of NCLB Development Projects:

1.     104 Washington Street update– J. Welles reports the closing is scheduled for the 1st of December.

2.     143 Washington Street to BJH update – J. Welles has an update in writing, they’re moving ahead with 14 residential units and 2 small offices; 1 Bedrooms and studios; 50—65% AMI; 800 sq. ft. commercial space will be rented to Osborne Association and small space for BJH offices; schematic designs completed; submitted part 1 to SHPO. J. Welles states that they didn’t get the PILOT. They will be getting small buildings PLP/HCR funding and a loan through CPC.A discussion was had about closing on the property and the board confirmed that land use board approvals and financing is needed first.  

3.     Legacy Cities funding for House to Home update – J. Welles states that the Lender, CPC, got credit approval as did HCR who will be providing grant funding.  We are waiting on the commitment letter from HCR yet. The project will be six properties that  are 2-3 family homes, to be sold to local owner occupants, with a total of 17 units. The closing will be at some point in the Spring. The subsidy requires owners to be 80 to 100% AMI. R. Monteverde states that the community is asking for AMI of 50% and J. Welles stated that although HCR approved a higher subsidy for us because of Newburgh’s high costs, it is not enough to bring down the affordability. She stated that she is looking for additional subsidies yet doesn’t want homeowners to be saddled with too many different regulations and compliance requirements.  

4.     44 S. Miller – J. Welles states NCLB is trying to preserve the shell. Building is in rough shape.  It will be included in the Legacy Cities program. 

5.     128 Dubois – The Board selected applicant Boss Partners and staff is working towards purchase and sale agreement this week; The purchaser visited yesterday with their partner to see the Building. 

6.     10 Chambers Street:  J. Welles states that an appraisal is being worked on so we can release an RFP for the lot.

 

III.            Community Land Trust feasibility study update: J. Welles explained that the Land Bank was asked to be a fiscal sponsor for a Dyson Foundation mini grant for a feasibility study for a community land trust in Newburgh. Diana Boston, a researcher who worked on the Housing Needs Assessment recently completed will oversee the study and be advised through the Pace land Use Law Center. A. Church states that we 1. Make sure the Resolution states that the land bank  will have no monetary obligation to the project and 2. That the grant language that states “will inspire to embrace the community Land Trust” should be taken out, since she feels it is presupposing that we are going to do it. She wants to maintain a neutral perspective. R. Monteverde makes a motion to Agree to Sponsor the Land Trust Feasibility study, A. Church seconds the motion. All are in favor. None opposed.  J. Surace made a motion to enter into Executive Session to discuss any updates. A. Church seconded the motion and Executive Session began at 12:30. R. Monteverde makes a motion to leave Executive Session. A. Church seconds the motion at 12:30. Move back into regular meeting. 

IV.            Max Dworkin – J. Welles gave update from Max that the final inspection will be done by next month’s meeting. 

V.             L. Daily accepts the motion to close the regular meeting and to enter into Annual Meeting. J. Surace motions to move into Annual meeting and A. Church seconds the motion. All Approve, none opposed.
