BOARD OF DIRECTORS MEETING 

MINUTES -

December 15, 2021


 

A. Organizational Matters


 

I.               Call meeting to order – Meeting called to order at 11:34 a.m. by L. Daily

II.              Attendance – Members via Zoom:  A. Church, L. Daily, A. Niles, D. Potack, 

J. Surace, Quorum was established. R. Monteverde absent.

Others: D. Chafizadeh, A. Filosa, D. Mangaser, E. Talbott, J. Welles. 

III.            Review & Approval of November 2021 Minutes –  D. Potack made a motion to approve the minutes. A. Church seconded. All approved, none opposed. 

IV.            Review & Approval of Financial Reports: November 2021- J. Surace made a motion to approve November Report, A. Church seconded it. All approved, none opposed. 

V.             D. Potack asked to see a revenue and expense projection for 3 – 6 months, and a projection of what can be sold by the Spring. J. Welles will report back to the Board.

VI.            Strategic Planning Process – follow up – J. Welles sent out a Doodle poll to wrap up in February 2022 to report on funding.

VII.          NY Hero Act Policy – Airborne Infectious Disease Exposure Prevention Plan – draft of this Policy initiated by NY State’s office; Required by Employers of NY State was reviewed.  D. Potack made a motion to approve policy and have employees sign an acknowledgement.  A. Church seconded the motion.  All were in favor.  

VIII.         Employee Handbook – Updated draft to be recirculated in Word to Board Members for questions and comments by January 12, 2022

IX.            Development Committee- A Church reported 

 

B. Property Related Matters

 

I.    New development/2 Family renovations: 

1.     House to Home update:  

i.  27 and 43 Johnston: J. Welles Deadline for application is January 14, 2022. NCLB received a couple of applications for each property and has held 3 open houses to date. Construction near completion.

ii.  115 and 150 Lander: Slated to complete in early Spring. Moving along at 40 -50% complete range. The only inspections left are final inspections. 

II.              Church of Holy Deliverance: 37 Chambers/Lander St lots update: J. Welles reports the plat was completed and filed with the County; waiting on confirmation of that.

Sales of NCLB Development Projects:

1.     104 Washington Street update– J. Welles reports the closing was the 1st of December.

2.     143 Washington Street to BJH update – J. Welles reports no new news.

 

3.     128 Dubois – update- J. Welles reports that they are working out the Draft purchase and sale agreement being drawn up at the attorneys for Boss Partners.

4.     Legacy Cities funding for House to Home update – J. Welles states there are no new updates; in pre-development phase; working on architectural plans and cost estimates.

5.     10 Chambers – Jennifer Welles reports that we received an appraisal and staff has a Draft RFP prepared.  Since the board didn’t have time to review the RFP, it will be discussed at the next meeting and hopefully released subsequently.  There are easements that need to be disclosed to appliants.  A. Church makes a motion to accept the Appraisal price of $93,000. J. Surace seconds the motion. All are in favor. None opposed.

 

III.            L. Daily accepts the motion to close the regular meeting and to enter into Executive Session. D. Potack made a motion to close the meeting. I. Hall seconded the motion. All in favor, none opposed. Moved into Executive session. Meeting adjourned at 1 p.m.
