BOARD OF DIRECTORS MEETING 

MINUTES

July 21, 2021


 

A. Organizational Matters


 

I.               Call meeting to order – Meeting called to order at 3:00 p.m. by D. Potack

II.              Attendance – Members: D. Potack, A. Church, via Zoom K. White, P. Halyeko, R. Monteverde, absent: L. Daily, J. Surace A. Niles. Quorum was established. Others: C. Feldman, Harris Beach, A. Filosa, D. Mangaser, E. Talbott, J. Welles. 

III.        Review & Approval of June 2021 Minutes – A. Church makes a motion to approve the minutes of the June Meeting. R. Monteverde seconded the motion. All approved, none opposed. 

IV.        Review & Approval of Financial Report June 2021- Tabled Financial Report until next meeting. D. Potack has a question about the Equity line 3000 in the P&L and what makes up the Assets Fund Balance unrestricted. J. Welles will ask Accountant. D. Potack makes a motion to table the financials to next meeting.  All approved, none opposed.

V.         Possible Meeting day change – Doodle poll to be sent out about other dates for meeting. 

VI.        Strategic Planning Process with NYCON Consultant – Susan Weinrich – The Dyson Foundation grant was received. A potential workshop regarding strategic plan with NYCON will be held in October for 4 to 6 hours.  Board members will be polled for availability.      

 

 

B. Property Related Matters

 

I.    New development/2 Family renovations: 

1.     House to Home update:  

1.     27 and 43 Johnston: J. Welles updated Board: completion anticipated mid -October 2021. Will start marketing as soon as possible. E. Talbott states we are in the rough framing and rough plumbing at 43 Johnston St. Wood floors will go down soon. 

ii. 115 and 150 Lander: NCLB began demo. Moving along well. Anticipated completion in winter 2022. J. Welles states that she is still waiting to hear back about the bridge loan for all 4 properties.  hearing back.

2.     Church of Holy Deliverance: 37 Chambers/Lander St lots update: The City has the subdivision letter; awaiting the surveyor’s fees. 

3.     151 Liberty/10 Chambers redevelopment ideas: J. Welles states that the Land Bank had been talking about marketing the lots together with the City, which owns 151 Liberty.  The land bank has been awaiting the remediation process for 151 Liberty St, which was completed by DEC. Although 10 Chambers did have some soil contamination that was remediated, the City side has the most significant contamination.  R.Monteverde suggests NCLB to market on its own 10 Chambers St. and have two separate RFP’s. J. Welles suggests the RFP give priority to proposals with a community amenity, mixed use and mixed income. A. Church suggests the RFP require proposals to show net new jobs. J. Welles suggests commercial incubator. A. Church states there are already some other projects getting started with that. D Potack requests a draft of the RFP for the next meeting.

 

II.              Sales of NCLB Development Projects:

1.     104 Washington Street update– J. Welles reports the developer, Mistral, got the IDA approval on their PILOT application and is able to close by the end of the year.

2.     143 Washington Street to BJH update – NCLB has nothing new to report. A. Church asks if they will be clearing the site by Fall. J. Welles states BJH reported in a previous meeting that they are only able to renovate the existing 4 story building and are planning on building a one story office where the garages are in the adjacent corner lot.  A. Church states that NCLB should look at the original application as it looks different now than what they submitted, and to go back to the Developer’s Agreement to see if there were unit counts in that agreement.  She also said that new single story is not permitted there. J. Welles will follow up with the developer.

3.     Legacy City funding for House to Home: J. Welles stated that the State Division of Housing and Community Renewal (HCR) has released the term sheet for funding homeownership projects for existing inventory (1-3 family houses) held by NY land banks and will provide up to $95,000 a unit in subsidies for up to 10 buildings per round for up to 3 rounds. The Community Preservation Corporation (CPC) is working in partnership with HCR and will provide the balance of the financing as a loan.  We submitted a letter of interest and CPC has started work on underwriting.  NCLB has six buildings that can work in this program.  We have already done some stabilization in all them , to varying degrees; The buildings include 39 S. Miller, 59, 63 and 136 Lander, 140 Chambers and 128 Dubois.  At 128 Dubois, NCLB has spent about $250,000, on structural stabilization, roof replacement, asbestos and lead abatement.  The Legacy City program is also designed to support minority developers, so ownership before construction would potentially transfer to a developer who would complete the work and sell to the homeowners; NCLB has reached out to Carlos Carbonero, who is working on 115 Lander and 150 Lander Street and comes highly recommended. He said he is very interested and has the capacity to complete the projects. 

  

III.            Building Preservation Program/ Other

1.     44 S. Miller interior demolition plan-update– NCLB received the workplan from the structural engineer to provide structural stabilization and interior demolition.  Staff will draft an RFP for the services to complete the work.  NCLB would then be able to sell the stabilization shell “as-is” to a developer, or RUPCO, who has expressed interest since their building , 46 S. Miller, is attached on one side.

IV.            Creative Placemaking, Marketing and Design 

1.     Artist in Vacancy (AIV) Update – Diana Mangaser states that 2020 wrapped up except for two projects: One by Vernon Byron, in which one of the buildings is to be wrapped in a construction scrim, and Ace Lehner who is working on a photo project. NCLB also received funding from Arts Mid-Hudson for next year.

2.     ArcGIS Internship – S. Levenson, the Priscilla King Gray Public Service Fellow,  has completed her internship. She has created a draft of a new home page for the website using ArcGIS story maps to create interactive maps which show customizable aspects of the mapping.  All will have pins to be able to click on to see a property on the map and more information about it. D. Mangaser will send around draft of pictures. D. Potack closed the meeting at 4:02 pm.
