BOARD OF DIRECTORS MEETING 

MINUTES

May 18, 2020

A. Organizational Matters

 

I. Call meeting to order – Meeting called to order at 3:15 p.m. by Jennifer Welles

II. Attendance – L. Daily, K. White, A. Church,  R. Monteverde, Joseph Surace, D. Chafiezadeh, J. Welles, A. Blair, A. Filosa,  D. Mangaser

III. Review & Approval of March 2020 Minutes –No Minutes to review. Minutes to follow May Meeting.

IV. Review of Financial Report March 2020 – J. Welles sent along a draft of March report this afternoon. March, April and May statements will be approved in June 2020. 

V.  Legal Representation – Harris Beach attorney David Rothman no longer at firm, will be replaced by Darius Chafiezadeh, who is a partner in the firm.

VI.  Yearly Review 2019 draft was circulated and to be approved at next meeting.

 

 

B. Property Related Matters

 

I.        New development/2 Family renovations: 

1.           House to Home: Plans for 27  and 43 Johnston, 136 Lander

Will submit plans for 27 Johnston when the ARC and Planning Board are up and running; 43 Johnston full plans completed, need to submit, and 136 Lander Street will do walk through with architect this month. All to be owner occupied with a rental unit and income restricted, like 45A and 45 Lander Street.        

2.          Pastor Burke properties Lander Street – J. Welles mentions that the Church agreed to sell us the portion of their lot that faces Lander, which is to be subdivided from the Church’s lot on Chambers. The purchase Agreement and down payment check were sent to their attorney in the beginning of March.  Harris Beach to follow up with their attorney.  

3.          RFP 104 Washington – L. Daily motions to extend the Application deadline to June 30th, 2020 in light of COVID. An extension will be allowed to give applicants more time to prepare proposals. L. Daily makes a Motion to extend the deadline to June 31st in light of COVID. A. Church moves; R. Monteverde seconds the Motion. All agree.

4.         143 Washington Street RFP:  Staff will prepare RFP

5.          62 Campbell– J. Welles mentions. J. Welles and A. Blair did a walk-thru of the building.  It’s a single -family home and doesn’t fit in to any other programs that we have. J Welles suggests that we could do a Request for Application and suggests “As-is” due to its advanced deterioration.  L. Daily motions to put out an RFA for 62 Campbell, R. Monteverde motions, A Church seconds the motion.  All in Favor for RFA with deadline to submit July 31st. 

 

II.                           Sales NCLB Development Projects:

 

1.  House to Home 2-Family—45 Lander is in contract;   the purchaser’s bank has said that they are ready to close.  Closing to be scheduled, but attorneys are behind due to COVID. 45A Lander was sold in March.

2.  Habitat for Humanity—157 N.   Miller, 162 N. Miller, 187 N. Miller, 139 Johnston, 141 Johnston will be sold by end of 2020.  Remediation is underway at 157 & 187 N Miller, and 162 N Miller is set to begin. NCLB acquired 139 & 141 Johnston from the City in February. J. Welles states NCLB needs to schedule the closing with Habitat by the end of the year.  

3. RUPCO: J. Welles states that closing is re-scheduled for June 11th; extended Purchase Agreement until July 3, because the current one expired at the end of April.  

 

 

III.                        Building Preservation/Other

 

1.           Asbestos Abatement & Stabilization: 128 Dubois and 140 Chambers in progress. 140 Chambers waiting for permit to come back from the City of Newburgh. 128 Dubois is waiting on subcontractors to provide an updated work plan; pricing and carpenters needs to be certified for lead and asbestos work- delayed due to Covid 19.

2.          44 S. Miller:  NCLB received funding from Enterprise to demolish the building which is in a very advanced state of deterioration with a collapsed roof and interior.

 3.  96 Broadway sign off release og convenants:  D. Chafiezadeh advises that if in possession than we can have the Board approve and have a vote. L. Daily motions to Release of Covenants. A. Church motions, K. White seconds the Motion. All agree. 

4.   Enterprise CRI 4.2 grant. J. Welles confirms that NCLB was awarded and additional  $475,000 of OAG funding – approved for demo at 44 S. Miller and at least one other House to Home building 

5. NY Land Bank Association legislative initiatives for funding through transfer tax: J. Welles responds that it is on hold,  but that the association continues to work on advocating for funding solutions

 

 C. Executive Session – L. Daily asks if we need to go into Executive Session for anything. Answer is No. Motions to Adjourn.
