    BOARD OF DIRECTORS MEETING 

    MINUTES

    January 27, 2020

    A. Organizational Matters

     

    I. Call meeting to order – Meeting called to order at 3:03pm by L. Daily

    II. Attendance – L. Daily, K. White, A. Church, P. Halayko, R. Monteverde, L. Berg, Administrative Assistant to the City Manager, as proxy for J. Donat, D. Rothman, J. Welles, A. Blair

    III. Review & Approval of December 2019 Minutes – A. Church made a motion to approve Dec 2019 minutes, and R. Monteverde seconded. All in favor, none opposed. Motion approved.

    IV. Review of Financial Report December 2019 – P. Halayko asked about upcoming sales and cash on hand. Board discussed how to determine upcoming sales prices and suggested updating the rating chart to determine price per square foot. A. Church made a motion to approve Dec 2019 Financial Report, and R. Monteverde seconded. All in favor, none opposed. Motion approved.

    VI. Collect board disclosure materials 2019 – A. Blair will send an email to Board members who have not yet submitted their disclosures. 

     

    B. Property Related Matters

     

    I.        New development/2 Family renovations: 

    1.           House to Home: 27 Johnston, 59 and 63 Lander, possible replacements – NCLB must do 3 more 2-family homes. We just started reverter litigation at 59 & 63 Lander. Since it is taking longer than expected, we possibly might substitute 43 Johnston or other properties to fulfill our grant requirements. 

    2.          43 Johnston- possibly first time homebuyer – There is a possibility to work with RDAC to fund part of the renovations, which would further leverage our current grant funding. Enterprise has just put out a new RFP for $1 million (due Feb 17) for work that is specifically addressing racial equity. We are going to apply on the basis of these 2-family renovations to provide more home ownership opportunities for local community members. A. Church mentions that the City has potential reverter opportunities on William Street for properties that have not progressed, some of which could also be for this purpose if designated for NCLB.

    3.          Pastor Burke properties Lander Street – J. Welles has a conversation scheduled with her to pursue purchase of her 3 properties (vacant lots), since we own adjacent properties. The Board had questions regarding whether these lots would then be transferred to Habitat, or if NCLB might develop, and will continue to explore.

     

    II. Sales NCLB Development Projects:

    4. Neighbors for Neighborhoods—167 N Miller/168 Lander – 167 N Miller is in contract, and 168 Lander is complete.

    5. House to Home 2-Family—45/45A Lander – Both properties in contract.

    6. MLS listings—146 South St & 23 S Miller – Accepted offer on 146 South, and 23 S Miller is in contract. 

    7. Habitat for Humanity—114 William St, 157 N.   Miller, 162 N. Miller, 187 N. Miller, 139 Johnston, 141 Johnston – 114 William is sold. Remediation is underway at 157 & 187 N Miller, and 162 N Miller is set to begin. NCLB still needs to acquire 139 & 141 Johnston from the City. 

    8. Acquisition from City of Newburgh: 139 and 141 Johnston -- P. Halayko makes a motion, and A. Church seconds, to acquire 139 & 141 Johnston from the City of Newburgh for a purchase price of $1 per property. All in favor, none opposed. Motion approved.

     

    III. Building Preservation/Other

      8. Asbestos Abatement & Stabilization: 6 complete, 128 Dubois   and 140 Chambers in progress – We just did testing at 140 Chambers. 128 Dubois is awaiting the work plan for stabilization with asbestos contractors. RECAP is interested in both of these properties, and have requested purchase price.   

                      9.  RFP 104 Washington – NCLB is ready to release the RFP. We have permission from ARC for demo. The Board wants to sell as-is, with purchaser completing demo (or saving structure). Board will be prioritizing best price, best project. Board asks for RFP to be released Feb 1, due Apr 1. 

    10. Planning & RFA for properties

                      i. RECAP-OASAS grant – RECAP is interested in 104 Washington, 140 Chambers, and 128 Dubois. Board would like RECAP to reply to the RFP for 104 Washington. 

                      ii. More House to Home

                      iii. 62 Campbell (single family) – Remediation and stabilization are complete. NCLB will issue RFP date TBD.

    11. 143 Washington reverter in process – Draft closing statement was just signed off, and we expect to close by mid-February.

     

    4:05pm R. Monteverde left meeting.

    12. Dubois St Partners update – Project is approximately 7 months behind. They have 5 buildings, 2 of which are basically complete (9 & 12 S Miller). Progress continues to be made on the others. 

    13. 96 Broadway sign off – D. Rothman advises that we should adopt a resolution for release of restrictive covenants to say that all conditions were met and project complete, and owner should record cancellation of reverter. Since we no longer have a quorum, this resolution is tabled for next meeting. 

    14. 27 City Terrace, Arturo Garcia, update – Owner has gotten plumbing and electrical roughed in, and they sent photos and an updated timeline. They expect to be done by April or May.

    15. RUPCO tentative closing Mar 6, 2020 

     

     C. Executive Session – L. Daily made a motion to enter Executive Session at 4:18pm.
